These Terms of Service (“Terms”) govern your access to and use of OmniNiche Studio (the “Platform”), operated by OmniFlow Ventures LLC (“Company,” “we,” “us,” or “our”), a Wyoming limited liability company. By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Platform, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

OmniNiche Studio is a SaaS platform that provides AI-powered tools for automated video content creation, including but not limited to:

  • Trend discovery and content ideation;
  • AI-generated script writing (powered by third-party LLM APIs);
  • Text-to-speech voice generation;
  • Automated video production;
  • Affiliate product integration;
  • Multi-platform social media publishing;
  • Content performance analytics.

3. Account Registration

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Subscription and Payment

4.1 Plans and Pricing

The Platform offers various subscription plans as described on our pricing page. Prices are subject to change with 30 days’ notice. All fees are in US Dollars unless otherwise stated.

4.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

4.3 Refunds

We offer a 14-day money-back guarantee for new subscriptions. After 14 days, fees are non-refundable. Downgrades take effect at the next billing cycle.

4.4 Free Trial

We may offer free trial periods. At the end of a trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends.

5. Acceptable Use

You agree not to use the Platform to:

  • Violate any applicable law, regulation, or third-party rights;
  • Create content that is defamatory, obscene, hateful, discriminatory, or promotes violence;
  • Generate misleading, deceptive, or fraudulent content;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Distribute malware, spam, or engage in phishing;
  • Circumvent any technical measures we use to provide or protect the Platform;
  • Use the Platform to generate content that violates the terms of connected third-party platforms (YouTube, TikTok, Instagram, Facebook);
  • Create content promoting illegal products, unverified health claims, or misleading financial advice without proper disclaimers.

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of the content you create using the Platform, including scripts, video configurations, and published videos. By using the Platform, you grant us a limited, non-exclusive license to process, store, and transmit your content as necessary to provide the service.

6.2 Platform IP

The Platform, including its software, design, features, documentation, and branding, is owned by OmniFlow Ventures LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

6.3 AI-Generated Content

Content generated by AI features (scripts, descriptions, titles) is provided as a starting point. You are solely responsible for reviewing, editing, and ensuring the accuracy and legality of all content before publishing. We make no guarantees about the originality, accuracy, or legal compliance of AI-generated content.

7. Affiliate Links and Monetization

The Platform may integrate affiliate links into your content. You are responsible for:

  • Complying with applicable affiliate disclosure laws (FTC guidelines, etc.);
  • Ensuring proper disclosures are included in your published content;
  • Complying with the terms of any affiliate programs you participate in.

The Platform’s compliance checker provides guidance but does not constitute legal advice. You remain solely responsible for legal compliance.

8. Third-Party Integrations

The Platform connects to third-party services including but not limited to OpenAI, ElevenLabs, YouTube, TikTok, Instagram, Facebook, Amazon Associates, and Stripe. Your use of these services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or actions of third-party services.

9. Disclaimers

9.1 No Professional Advice

Content generated through the Platform does not constitute financial, medical, legal, or professional advice. Users creating content in regulated niches (finance, health, etc.) are responsible for including appropriate disclaimers.

9.2 Service Availability

The Platform is provided “as is” and “as available.” We do not guarantee uninterrupted, error-free, or secure operation. We may modify, suspend, or discontinue features with reasonable notice.

9.3 Revenue and Results

We make no guarantees regarding views, engagement, revenue, or any specific results from using the Platform. Content performance depends on many factors outside our control.

10. Limitation of Liability

To the maximum extent permitted by law, OmniFlow Ventures LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OmniFlow Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Platform, your content, or your violation of these Terms.

12. Termination

You may cancel your subscription at any time through your account settings. We may suspend or terminate your account if you violate these Terms, with or without notice. Upon termination, your right to use the Platform ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Cheyenne, Wyoming, under the rules of the American Arbitration Association. You waive the right to participate in class actions.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Platform. Continued use after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Platform.

15. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.
  • Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights without restriction.
